Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Proprytor mobile application, the Proprytor website at proprytor.com, and the Proprytor CRM web platform (together, the "Service"), operated by Asteron Tech ("Proprytor," "we," "us," or "our").

By registering for an account, accessing, or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

Proprytor is a real estate technology platform that provides:

• IDX Property Search — access to live MLS® listings sourced from the Canadian Real Estate Association (CREA) via the Data Distribution Facility (DDF) and MLS Grid, updated daily
• CRM Tools — contact management, lead pipeline, and performance analytics for licensed realtors
• Communications — in-app messaging, SMS, email, WhatsApp integration, voice notes, and audio calling between realtors and their clients
• IDX Website Builder — branded public-facing property search websites for brokerages and agents
• Mobile Application — iOS and Android apps for buyers, renters, and realtors

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where possible. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

To use the Service you must:

• Be at least 18 years of age, or the age of majority in your province or territory of residence
• Have received a valid invitation from a licensed Canadian realtor (for end-user accounts), or have entered into a separate agreement with Proprytor (for realtor and brokerage accounts)
• Have the legal capacity to enter into a binding contract under the laws of Canada
• Not be prohibited from receiving services under applicable Canadian law

When you create a Proprytor account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and not share your credentials with any third party
• Notify us immediately at support@proprytor.com or +1 888 412 7876 if you suspect any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account
• Keep your account information up to date

You may not create more than one personal account. Realtor and brokerage accounts are subject to separate licensing terms agreed upon at the time of onboarding.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service for any purpose that violates applicable Canadian law, regulation, or court order
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Transmit any content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, or otherwise objectionable
• Attempt to gain unauthorized access to any part of the Service, other user accounts, or Proprytor systems
• Use automated means (bots, scrapers, crawlers) to access, collect, or index any content from the Service without our prior written consent
• Reproduce, distribute, modify, or create derivative works from MLS® listing data except as expressly permitted by these Terms and CREA DDF rules
• Interfere with or disrupt the integrity or performance of the Service or the data contained therein
• Use the Service to send unsolicited commercial messages (spam) to other users
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service

We reserve the right to investigate violations of these Terms and to take appropriate action, including removal of content, suspension of accounts, and referral to law enforcement.

Property listing data displayed on the Service is sourced from CREA via the Data Distribution Facility (DDF) and MLS Grid. This data is provided under licence and is subject to the following important conditions:

• No guarantee of accuracy — listing information including price, availability, and property details may change without notice. All listing data is provided "as is" for informational purposes only
• Not a solicitation — the display of any listing does not constitute a solicitation for listings currently under contract with another brokerage
• Attribution required — all MLS® listings displayed on the Service are attributed to their originating brokerage as required by CREA rules
• No redistribution — you may not copy, redistribute, or commercially exploit MLS® listing data obtained through the Service
• Sold, expired, and withdrawn listings — listings that are sold, expired, or withdrawn are removed from public display in accordance with CREA IDX rules

Property listing data is refreshed daily. Proprytor is not responsible for discrepancies between data displayed on the Service and information held by the listing brokerage or MLS® board. Always confirm listing details directly with the listing agent or your assigned realtor before making any real estate decision.

The Service and all of its original content, features, and functionality — including but not limited to the Proprytor name, logo, software, design, text, graphics, user interface elements, and code — are and remain the exclusive property of Asteron Tech and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for its intended purposes as described in these Terms. This licence does not include any right to:

• Sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Service or any portion of it
• Copy, modify, translate, adapt, or create derivative works based on the Service
• Reverse engineer, disassemble, decompile, or otherwise attempt to extract the source code of the Service
• Remove or alter any proprietary notices, labels, or marks on the Service

Your content: You retain ownership of any content you submit through the Service (such as messages, photos, and files). By submitting content, you grant Proprytor a limited, non-exclusive licence to use, store, and display that content solely as necessary to operate and provide the Service to you and your realtor. We do not claim ownership of your content and will not use it for any other purpose.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains what personal information we collect, how we use it, and your rights under the Personal Information Protection and Electronic Documents Act (PIPEDA) of Canada.

By using the Service, you consent to the collection and use of your personal information as described in the Privacy Policy. If you do not agree with the Privacy Policy, you must stop using the Service and delete your account.

By creating an account, you consent to receive the following types of communications from Proprytor:

• Transactional messages — account creation confirmations, security alerts, one-time verification codes, and important service updates. These cannot be opted out of while your account is active
• Service notifications — messages from your assigned realtor, new listing alerts matching your saved searches, price change notifications, and showing confirmations. You may control these from Profile → Settings → Notifications
• Product updates — information about new features or changes to the Service. You may unsubscribe from these at any time

All communications from your realtor through the Service are governed by the terms agreed between you and your realtor. Proprytor is not responsible for the content of communications sent by realtors through the platform.

The Proprytor mobile application is available for download on the Apple App Store (iOS) and Google Play Store (Android). Your use of the mobile application is also subject to the terms of service of the applicable app store provider.

• Updates — we may release updates to the mobile application from time to time. We recommend keeping the app updated to the latest version to ensure access to current features and security patches
• Device requirements — the app requires a compatible device and operating system. Minimum supported versions are listed in the app store listings and are subject to change
• Permissions — the app requests certain device permissions as described in our Privacy Policy — Section 4. You may grant or revoke these permissions at any time in your device settings
• Offline functionality — some features of the app require an active internet connection. We are not responsible for any lack of functionality due to no or limited connectivity

Apple and Google are not parties to these Terms and have no obligation to provide any maintenance or support for the Proprytor application.

The Proprytor Service is provided to end users (buyers and renters) at no charge. Realtor and brokerage subscriptions are subject to separate fee agreements entered into at the time of account setup.

For realtor and brokerage subscribers:

• Subscription fees are billed in advance on a monthly or annual basis as agreed at sign-up
• All fees are quoted and charged in Canadian dollars (CAD)
• Fees are non-refundable except as required by applicable Canadian consumer protection law or as expressly stated in your subscription agreement
• We reserve the right to change pricing with at least 30 days' advance written notice to your registered email address
• Failure to pay fees may result in suspension or termination of your account

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

In particular, Proprytor does not warrant that:

• The Service will be uninterrupted, error-free, or free from viruses or other harmful components
• Any listing information, property data, or MLS® data displayed is accurate, complete, or current
• The results obtained from using the Service will meet your expectations or requirements
• Any defects in the Service will be corrected within a specific timeframe

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, IN NO EVENT SHALL PROPRYTOR, ASTERON TECH, OR THEIR DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, goodwill, or other intangible losses
• Any damages arising out of or in connection with your use of, or inability to use, the Service
• Any errors, inaccuracies, or omissions in MLS® listing data or property information
• Any unauthorized access to or alteration of your transmissions or data
• Any conduct or content of any third party on the Service, including without limitation any realtor using the platform

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability is limited to the maximum extent permitted by law.

Proprytor's total cumulative liability to you for any claims arising under or relating to these Terms shall not exceed the greater of (a) the total fees paid by you to Proprytor in the 12 months immediately preceding the event giving rise to the claim, or (b) CAD $100.

You agree to defend, indemnify, and hold harmless Proprytor, Asteron Tech, and their respective directors, employees, partners, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service in a manner not authorized by these Terms
• Any content you submit, post, or transmit through the Service
• Your violation of any third-party rights, including intellectual property rights or privacy rights
• Your violation of any applicable Canadian law or regulation

You may stop using the Service at any time by deleting your account (see our Privacy Policy — Section 12 for the account deletion process).

We may suspend or terminate your access to all or part of the Service at any time, with or without notice, for any reason, including but not limited to:

• Breach of these Terms or our Acceptable Use policy
• Conduct that we believe harms other users, third parties, or the integrity of the Service
• Non-payment of fees (for realtor and brokerage accounts)
• A request from a law enforcement agency or government authority
• Discontinued operation of the Service

Upon termination, your right to use the Service ceases immediately. The provisions of these Terms that by their nature should survive termination shall survive, including Sections 7 (Intellectual Property), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), and 16 (Governing Law).

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You and Proprytor agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, the parties agree to submit to the exclusive jurisdiction of the courts of the Province of Ontario.

Nothing in this section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or the features of the Service. The "Last updated" date at the top of this page tells you when the Terms were last revised.

For material changes, we will notify you at least 14 days in advance by email to your registered address and through an in-app notice. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of those changes.

If you do not agree to the updated Terms, you must stop using the Service and delete your account before the effective date of the changes. Previous versions of these Terms are archived and available upon request.
